Stockholders of Nasdaq-listed Super League Enterprise have approved all proposals tied to an investment deal with Japan-based Metaplanet at an annual general meeting, clearing the company to serve as Metaplanet's U.S. Bitcoin treasury platform. The corporate restructuring will see Super League rebrand to Superplanet, Inc. and change its ticker symbol from SLE to SUPA, with the transaction slated to close in the fourth quarter.[1][2][3][4][5][6]

Under the terms of the transaction, Metaplanet will contribute 2,100 bitcoin alongside $2.5 million in cash. In exchange, Metaplanet will receive 44.86 million common shares, 100 shares of Strategic Alliance Preferred Stock, and common stock warrants that could generate up to approximately $3.4 billion in additional equity capital. Based on approximately 3.0 million shares outstanding as of September 29, Metaplanet will hold roughly 93.7% of Superplanet's common stock at closing, with all shares subject to a five-year lockup.[4][5]

The preferred shares grant Metaplanet broad governance rights, requiring its consent for charter amendments, mergers, control transactions, and the designation of a board majority, without granting dividend or liquidation preferences. Metaplanet CEO Simon Gerovich confirmed the transaction, which establishes a dual-market architecture bridging Japanese equity listings with Wall Street capital markets. The framework is intended to give the company direct access to U.S. markets for debt and equity financing, including multi-currency convertible debt issuance across complementary trading hours.[2][5]
