Marvell Technology has struck an agreement to acquire data center optics and optical components maker Lumentum Holdings in an all-stock deal valued at approximately $115 billion in enterprise value. Under the terms of the merger, Lumentum shareholders will receive 4.5 Marvell shares for each share they own, implying roughly $1,132 per share and a 23.9% premium over unaffected closing prices on October 28.[1][2][8][10]

Upon completion, Marvell stockholders will own about 67% of the combined company, with Lumentum investors holding the remaining 33%. The combination merges Marvell's custom AI chips, interconnects, and networking switches with Lumentum's lasers, optical transceivers, and optical circuit switching technologies. Marvell stated the combined enterprise could address a $550 billion total addressable market, generate over $1 billion in annual run-rate cost synergies, and become accretive to adjusted earnings per share within the first year.[8][12][13]

The mega-deal reflects an intensifying industry transition from traditional copper connectivity to optical links to satisfy the heavy bandwidth, speed, and power requirements of artificial intelligence workloads. Marvell Chairman and CEO Matt Murphy, who will continue to lead the combined company, described the architectural shift as a once-in-a-generation opportunity. Reuters reported that the acquisition also positions Marvell to rival Broadcom in the AI networking arena.[2][6][7][8]

Both companies received strategic backing earlier in 2026 from Nvidia, which invested $2 billion in each company. According to Bloomberg, Murphy and Lumentum CEO Michael Hurlston contacted Nvidia CEO Jensen Huang to obtain his perspective before announcing the merger, with Hurlston noting that Nvidia's response was super positive and that the combination would deliver products to Nvidia more quickly.[2][3][4][5]

The transaction is expected to close in the first half of 2028, subject to regulatory clearances and shareholder approvals. The merger agreement sets a deadline of November 1, 2027, extendable to August 1, 2028, for regulatory reviews, alongside reciprocal breakup fee provisions if either party backs out or fails to complete the deal.[8][9][11]

$MRVL IS BUYING $LITE FOR $115 BILLION. Marvell has agreed to acquire Lumentum in one of the biggest deals in the AI infrastructure space. Lumentum shareholders will receive 4.5 Marvell shares for every share they own, representing a 23.9% premium. But I think the real story here is what this says about where the AI industry is heading. We've spent so much time talking about AI chips that the infrastructure connecting them can easily get overlooked. AI data centres need to move enormous amounts of data at incredible speeds. That's driving a major shift towards optical technology, which offers faster connections, greater bandwidth and better power efficiency than traditional copper. Marvell brings the custom AI chips and networking technology. Lumentum brings the lasers and optical components. Together, they're positioning themselves across a much bigger part of the AI infrastructure market. Marvell believes the combined business could target a $550B addressable market. I think this is another sign that the AI opportunity is expanding well beyond the chipmakers. The companies building the infrastructure that makes AI possible are becoming increasingly important, and Marvell clearly wants a much bigger piece of that market.
